These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Paddery, LLC (“Paddery,” “we,” “us,” or “our”), governing your access to and use of our website, technology platform, and related services, including but not limited to homeowner maintenance plans, contractor matching for one-off tasks, and communication tools (collectively, the "Services"). By accessing, browsing, or otherwise utilizing any component of the Paddery platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is hereby incorporated by reference.

1. Acceptance of Terms

Your use of the Services constitutes your full and unconditional acceptance of these Terms. If you do not agree to be bound by all of the provisions set forth herein, you may not access or use the Services. These Terms apply to all users of the Paddery platform, including, without limitation, homeowners seeking services, contractors providing services, and any other users or visitors to our site or platform. We reserve the right to modify, amend, or update these Terms at any time, and such modifications shall become effective immediately upon being posted on our website. Your continued use of the Services after such changes will constitute your acceptance of the revised Terms.

2. Services Overview

Paddery operates as a concierge-style facilitator of home service experiences, offering homeowners access to structured maintenance plans as well as on-demand, one-off task coordination. We leverage automation and vetted professional networks to streamline the process of requesting, assigning, and completing residential services. While we facilitate the interaction between homeowners and independent service providers, we do not directly perform or guarantee the work executed by those providers. All services are performed solely by third-party contractors who operate independently and are not employees, agents, or representatives of Paddery.

3. User Responsibilities

As a condition of your use of the Services, you expressly agree that you will:

  • Provide true, complete, and current personal and property information when submitting a request or signing up for ongoing maintenance.

  • Promptly update any information that becomes outdated or inaccurate to ensure continued accuracy in service coordination.

  • Use the Services exclusively for legitimate and lawful residential purposes, and refrain from submitting fraudulent, abusive, or intentionally misleading service requests.

  • Not engage in any activity that may impair the operation, security, or integrity of our platform or interfere with the experiences of other users.

  • Abide by all applicable federal, state, and local laws, ordinances, and regulations in connection with your use of the Services.

Failure to comply with these responsibilities may result in the suspension or permanent revocation of your access to Paddery’s Services, at our sole discretion.

4. Relationship with Contractors

Paddery does not perform residential services and does not employ or control the contractors we match with homeowners. Contractors are independent third parties responsible for their own conduct, credentials, pricing, schedules, tools, materials, licenses, insurance, and the outcome of the services they render. Although Paddery endeavors to maintain a vetted network of professionals, we do not make any express or implied warranties regarding the quality, timeliness, safety, legality, or suitability of the services performed. Paddery shall not be held liable for any injury, loss, claim, damage, or expense arising from the contractor's actions, omissions, or failure to perform.

You understand and agree that all service engagements are formed directly between you and the contractor, and not with Paddery. We are not a party to any contractual agreement or guarantee of performance between you and any third-party provider.

5. Payment & Invoicing

For one-off service requests, Paddery charges contractors a job-specific fee upon acceptance of the assignment. This fee must be paid within an eight (8) hour window following tentative job acceptance, otherwise, Paddery reserves the right to revoke the match and reassign the opportunity to another available contractor. Homeowners do not pay Paddery directly for services unless explicitly stated in a separate agreement or service tier. All service-related charges, warranties, and dispute resolutions are handled between the homeowner and the assigned contractor, not through Paddery.

Paddery may facilitate payment collection and invoicing on behalf of contractors through third-party platforms such as Stripe, but we are not liable for any payment processing errors, delays, or disputes that arise from such transactions.

6. Termination of Use

Paddery reserves the right, at its sole discretion and without prior notice, to terminate, suspend, or restrict your access to any or all parts of the Services at any time and for any reason, including but not limited to violations of these Terms, suspected fraud, misuse of the platform, or behavior that we deem abusive or harmful to our company, our partners, or other users. Upon termination, your right to access the Services will immediately cease, and Paddery shall not be liable to you or any third party for any claims or damages arising from such termination.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Paddery shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, goodwill, data, or other intangible losses arising out of or in connection with your use of the Services, regardless of whether such damages arise from breach of contract, tort (including negligence), or otherwise. Our total cumulative liability to you for any claims arising from or related to the use of the Services shall not exceed one hundred U.S. dollars ($100.00). Certain jurisdictions do not allow limitations of liability, so the above limitation may not apply to you.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. You agree that any disputes, claims, or controversies arising from or relating to these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Collier County, Florida, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.
